Terms of Service
These Terms of Service ("Terms") govern your access to and use of the services provided by Agentic Autonomy Ltd ("AgenticOS", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these Terms.
1. Definitions
- "Services" means the AgenticOS platform, including all AI agents, software, APIs, and related services we provide.
- "Customer" or "you" means the individual or entity that subscribes to our Services.
- "Customer Data" means any data, content, or information you submit to or process through our Services.
- "Agent" means an AI-powered autonomous software component that performs specific business functions.
2. Account Registration
To use our Services, you must:
- Create an account with accurate and complete information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorised access
- Be at least 18 years old and have authority to bind your organisation
You are responsible for all activities that occur under your account.
3. Services and Licence
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to access and use our Services during your subscription period.
Our AI agents operate autonomously within boundaries you configure. You are responsible for:
- Setting appropriate approval thresholds and boundaries
- Reviewing and approving escalated decisions
- Ensuring the accuracy of data you provide
- Complying with applicable laws and regulations
4. Customer Data
You retain all rights to your Customer Data. By using our Services, you grant us a limited licence to process your Customer Data solely to provide the Services.
We will:
- Process Customer Data only as necessary to provide the Services
- Maintain appropriate security measures
- Not access Customer Data except to provide support or as required by law
- Return or delete Customer Data upon termination (subject to legal retention requirements)
5. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Attempt to gain unauthorised access to our systems
- Interfere with or disrupt the Services
- Reverse engineer, decompile, or disassemble the Services
- Resell, sublicense, or transfer the Services without our consent
- Use the Services to process data in violation of applicable laws
- Submit malicious code or content
6. Fees and Payment
You agree to pay all fees associated with your subscription as set out in your order or our pricing page. Fees are:
- Billed monthly or annually in advance
- Non-refundable except as expressly stated
- Subject to change with 30 days' notice
- Exclusive of VAT and other applicable taxes
If payment is not received, we may suspend your access to the Services.
7. Term and Termination
These Terms commence on your first use of the Services and continue until terminated.
- Monthly subscriptions: Either party may terminate with 30 days' written notice
- Annual subscriptions: Terminate at the end of the subscription period with 30 days' notice
- Immediate termination: We may terminate immediately for material breach or non-payment
Upon termination, your access to the Services will cease, and we will delete your Customer Data within 30 days (unless legally required to retain it).
8. Intellectual Property
We retain all rights to the Services, including all software, algorithms, models, and documentation. These Terms do not grant you any rights to our intellectual property except the limited licence to use the Services.
Any feedback or suggestions you provide may be used by us without obligation.
9. Confidentiality
Each party agrees to protect the other's confidential information with the same degree of care it uses to protect its own confidential information. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.
10. Warranties and Disclaimers
We warrant that the Services will perform substantially in accordance with our documentation. If the Services fail to meet this warranty, your exclusive remedy is for us to correct the non-conformity or, if we cannot, terminate your subscription and refund prepaid fees for unused periods.
EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Services will be uninterrupted or error-free
- AI agent decisions will be 100% accurate
- The Services will meet all your requirements
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability for any claims arising from these Terms or the Services shall not exceed the fees paid by you in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for loss of profits, revenue, data, or business opportunities
These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.
12. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable law
- Any Customer Data you provide
13. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR. Where we process personal data on your behalf, we act as a data processor and you act as the data controller.
14. Third-Party Integrations
The Services may integrate with third-party applications (such as Xero, Sage, or banking APIs). Your use of these integrations is subject to the third party's terms. We are not responsible for third-party services.
15. Service Level Agreement
For customers on qualifying plans, we provide service level commitments as set out in our Service Level Agreement, which is incorporated into these Terms by reference.
16. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes via email or through the Services. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
17. General Provisions
- Governing Law: These Terms are governed by the laws of England and Wales
- Jurisdiction: Disputes shall be resolved in the courts of England and Wales
- Entire Agreement: These Terms constitute the entire agreement between the parties
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect
- Waiver: Failure to enforce any right does not constitute a waiver
- Assignment: You may not assign these Terms without our consent
- Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control
